Chief Financial Officer, NYC, NY

Duties incl:

1. Reporting:
   • Functional reporting to the CFO of Cobepa SA & reporting to the CEO of Cobepa NA for the US responsibilities.
   • Communications in French & English w/affiliated co's & group HQ in Belgium.
2. Group responsibilities (reporting directly to the Group CFO)
   • Setting up of a new fund (co-investment fund)
   • Dvlp group projs (automatization of various financial reportings & of the Net asset Value tool, set up of co-investment SPV’s for the Cobepa’s network & for the Investment team.)
3. US responsibilities
   • For US investment vehicles, in close relation w/US deal team (when relev):
     • Setting up the tax structure of the US investment & Tax returns & K-1s (via external firms).
     • Bookkeeping (via external firms); provide the relev info to the external provider & check the accounts prepared by them
     • Relationship w/banks for the mgmt of the bank accounts of the US investment vehicles, closing of those
     • Assistance w/the completion of the audit of Cobepa SA when US activities are part of the scope-
     • Assist w/the upstreaming of cash from US investment vehicles to Cobepa SA

• • For the US profit interest program, facilitating the creation & maintenance of profit Interest progs for Cobepa US team members (a deal-by-deal program). This incl. Establishing profit interests’ progs for new investments. Issuing profit interest grants in existing portfolio co's for select new investment staff. Tracking the impact of hurdle rates & cash distributions. Valuing twice a yr the profit interests in conjunction w/the NAV of Cobepa. Follow up of legal & tax aspects reltd to the profit interest progs; maintenance of the legal & tax documentation required for the issuer & the beneficiaries.

• • Cobepa NA-Regulatory watch regarding Cobepa NA's non-regulated entity status & assistance (for the US regulatory aspects)
    • Controlling of Cobepa NA (in close relationship w/Cobepa SA finance team): respect of procedures, cost control, gathering of all the docs req'd for the accounting of Cobepa NA, verification of the accounts & tax return, insurances.
    • Liaise w/Cobepa US payroll (& other benefit) provider in support of various req'd reporting matters & to support growth of the US investment team-Facilitate & assist w/the issuance of the “Main Long Term Incentive Plan”, which is done annually & is based on growth of the Cobepa NAV;
    • Maintenance of the US legal & tax documentation req'd for the issuer & the beneficiaries. 

Must have a Mstrs deg in Mgmt or Finance + 72 mths exp as VP of Finance, President of Finance, Financial Auditor, Auditor Consultant, CFO or closely reltd Finance position.

Special Reqs: Accounting European GAAP (6 yrs), Accounting IFRS GAAP (6 yrs), Valuation of participations using DCF, Transactions comparables, & quoted comparables (6 yrs), Exp in tracking & monitoring incentive plans (6 yrs), & Software exp in reporting tools or consolidation tools (6 yrs).

Sal $277,410.00/yr.
